CORPORATE/BUSINESS LAW
We have represented publicly traded companies and family businesses providing a wide range of services:
• Contracts and Agreements -- employment, independent contractor, supplier and franchise agreements;
• Corporate Restructuring and Mergers and Acquisitions -- loans and refinancing, equipment leasing, and stock and asset purchases;
• General Operations Advice -- management, personnel and employment issues, marketing strategies and business plan formulation.
REAL ESTATE
• Commercial -- leases and sales from small retail spaces to vast commercial properties, from space ready for occupancy to vacant land.
• Residential -- condominiums, townhouses, single family homes, investment and vacation properties.
LITIGATION
• In re: Foundation for New Era Philanthropy -- Special Counsel to Bankruptcy Trustee, Hon. Arlin M. Adams. All of the litigation for which we were engaged was settled for approximately $21 million.
• Products Liability -- In re: Silicone Gel Breast Implant Litigation - Primary responsibility for all matters pertaining to 3M, one of the largest implant manufacturers. Several defendants, including 3M, settled the litigation for nearly $2 billion.
• Dip Tube Litigation (defective part in domestic hot water heaters); In re: Packard Bell Consumer Litigation (product misrepresentation).
• Antitrust and Securities -- Brand Name Prescription Drugs (price fixing); Grossman v. 1st Pennsylvania (securities fraud).
• Commercial and Breach of Contract -- MGK Industries v. Upper Moreland-Hatboro Joint Sewer Authority (construction dispute); W.W. Adcock v. Ft. Wayne Pools (breach of contract, wrongful termination); Race Pontiac v. GM (violation of the Pennsylvania Automobile Dealers Protection Act).
